Mother and son owners Maria-Elisabeth and Georg Schaeffler ended weeks of wrangling by promising to keep their stake in the business below 49.99pc for four years and sweetening their offer from €70.12 to €75 per share. Schaeffler - which is about a third of the size of Continental - launched its offer last month, after quietly acquiring a 36pc stake at a low valuation by buying through banks. advertisement The tactic was fiercely criticised by Continental's chief executive, Manfred Wennemer, who said the "sneaky" move had been carried out "egoistically, high-handedly and irresponsibly". After the deal, Continental said all bad feeling between the companies was now over. Former German chancellor Gerhard Schröder will oversee the agreement, which stipulates that Continental will remain intact, keep its stock exchange listing, stay at its Hanover headquarters and retain its strategy, business divisions and dividend policy. Schaeffler chief executive Juergen Geissinger said his company had always sought "a constructive agreement". The deal allowed for "the combination of two German technology leaders that will deliver innovative solutions for the future challenges of the automobile industry". The tyre manufacturer, which also makes brakes, satellite navigation systems and dashboard components, will work with Schaeffler on "strategic co-operation projects" such as power trains. Continental became vulnerable to a takeover after taking on €9.5bn of debt when it bought a car component unit from Siemens, causing its share price to drop by 50pc. Schaeffler then disclosed its intention to acquire a 28pc stake in the weakened company through swap deals, a practice declared legitimate by the German financial regulator BaFin. If the bid was rejected, Schaeffler could have accumulated a majority stake over time, but under the agreement, this will not happen until 2012. The clause was added to stop banks demanding renegotiation or repayment of loans made by Continental to fuel acquisitions. "The time of insecurity and ambiguity is over," said Werner Bischoff, deputy chairman of Continental's supervisory board. "We welcome that this result could be reached at the negotiating table." Continental is predicting its revenue will be more than €26.4bn this year, with a total of 149,113 employees - triple the size of Schaeffler. Together, Schaeffler and Continental have overtaken Bosch as the world's top vehicle components supplier. 8월 16일 Quite Terrible DayIt was the Friday, in people squire, raining. I avoided rain under a tree, and reading a book. Suddenly a person asked me, do you lose your bag? I found it was, what I first think about, it’s call police. Then I found out a policeman who was most close to me, told him what’s happen, however, his answer is let me go to anther police department where is hundred meters away from me. I don’t think that’s the time to do those kinds of stupid things. So I went around finding my bag. Because my laptop and Apple MP4 inside. Suddenly, I saw my bag, there was a person took it, and he was taking a taxi. I tried to prevent the car, but it was not work. The taxi through my left side and went away. I did not give up. I pursue it continuity until more than 200 meters, and I saw the taxi stop by a red traffic light, while, there were couple policemen near by me, I ask them help me pursue the car! Do you know what! They let me come down and don’t hurry about that, give me a paper let notes the process of the event. I just looked at the taxi father and father from me., and what I could do, it was writing. Then, give more attention to those who have luckily survived the catastrophe .Maybe a lot of them have lost their relatives ,parents,friends,which they can't accept for the momont but have to bear .It is really a terrible shock to them.So they need our support and we are supposed to stick with them through thick and thin.Maybe a word can give them some comfort and strong their faith to live on.Of course,if you feel you are enough to donate some clothing and food for the survivors,don't hold back,just act now! 4월 6일 Exciting, here we go~!Today is the 3ed day in Brighton, weekend, nice day, sunny; I have to go out to have look at and feel the atmosphere of nature. Feel’s good.
First I rode my car (rental) to have my pretty lunch in McDonalds, that’s totally different style. No Chicken Wings, Smaller Hamburger, and large Chicken Steak, Self-help Drink, But one thing is the same as China, there were lots of Children here.
And then I take some remaining food prepared to back hotel, but I lost my way, assuming~! Around the Hi-way transferred over and over again. Then, I park to a place where is very nice, white house, green grass, like cartoon. I got out my car, draw a breath and then back to car found my way continually.
Eventually, I Did~! Here we go!
Some times, we can not do something, case by we can not believe in self, that’s true. 1월 31일 Get promotion - acquisition, responsibility and ability should be balance
I got promotion today, and I would like to share the gain for all of u.
Today I talked with a person about a movie- The Lord of the Rings. Actually I just saw some piece of scene about the film. But the person also told the story for me. Fortunately, I am not only knew the story, but also listened its truth.
In The Lord Of The Rings, some people fighting each other for get the power of the ring, and the ring transfered from person to person. some persons is good, some is bad, but there is nobody can hold the ring, the good person changed to hellion, and the bad person changed to craze, and then lost himself.
It's really like some kind of power and money thing in realistic. I think almost people agree with money and power more is better, like the people in the movie plunder the ring. However while the person get more and more money or power, but he would change to another person, even though that was never thought about before. Also the person get less money; obviously should be more complaint. In the movie some persons is good but also wanna get the ring, they think about the problem is whom is the ring belong to.
But I think the problem should is Balance, between acquisition, responsibility and ability. While the person get more acquisition should be consider take more responsibility, and while the person wanna take more responsibility should be improve his abilities for taking.
So the conclusion should be Balancing. I think that's the kingcraft. The Love Would Not Be Frozen
It will be The Spring Festival of 2008 in a week and the best wish of every person away from home is to return for the Chinese New Year. However, the South of China has suffered the most serious snow disaster in the past 50 years, which makes the way home full of difficulty. In the world of ice and snow, I am looking forward to unfrozen love to send conveniency to those who are on their way home. And let them who are in trouble of it feel the warmth at home.
